This contract and agreement is entered into on by and between Product Advance Inc, located at 6574 N SR 7 #176 Coconut Creek, FL 33073 & You, the Undersigned Party. Your IP address has been recorded for this transaction
You agree that you have provided accurate and truthful information during the completion of this agreement. This is a legally Binding Document. By completing this electronic agreement and entering your information, you approve your consent to the following terms and conditions that constitute a legally binding agreement between you and Product Advance, Inc.
Website Development Time
Depending on the complexity of your project website development time is approximately 30-45 business days but can often be much quicker. If you have opted for to use our page builder you will receive access to your website immediately. Payments will be due as specified in this agreement. Depending on your payment schedule, your website may not be complete before your payment cycle ends. Time for Payment You are creating a subscription for payment. You may cancel your subscription at any time. All services are billed monthly. Your website may not be complete before your payment cycle ends. The first payment is due now. Consecutive payments will be due in 30 day cycles until all of your payments have completed. CLIENT agrees to make timely payments. CLIENT agrees to provide updated billing information as may be requested. CLIENT understands that non-payment will result in automatic “hold” on his/her account. During the hold period services will not be functional. The account will be “reactivated” after payment in full is received. Credit card accounts will be automatically renewed unless notified prior to expiration date of service.
Provision of Services
Product Advance, Inc. provides high quality website hosting and website design services. The details of the specific services that you are contracting for are included in your first invoice and can be reviewed in the customer portal at any time. By completing this document and providing your electronic signature, you agree that you are contracting with Product Advance, Inc for the specific services as outlined in your first invoice and that no other services unless specifically detailed within your invoice or within this document shall be provided or expected.
Our website hosting is a managed service. This means that we will upload and maintain your sites availability on the internet for the duration of this agreement. We guarantee that your website will be made available online via http 99.9% of the time for which you have paid. If your website is down for any amount of time during a one month period we will refund you your charges for that month or offer you an additional month at no charge. All other settings
and FTP Access are strictly controlled by Product Advance, Inc. This managed service allows us to provide you with the enhanced reliability and stability that has kept our customers online for over 10 years.
Client is responsible for supplying all needed content materials to Product Advance, Inc. by Mutually Agreed Upon Date. If Client does not provided the full content by Mutually Agreed Upon Date, and Product Advance, Inc. has completed all development possible without content or input from Client, the project will be considered complete pending input and Client will need to pay remaining project balance within 7 days of invoice date. Client will then be given 60 days to supply the rest of the content. If Client does not supply the content, then the Design & Development portion of this agreement will be considered complete.
Terms of Agreement
This agreement shall be effective for 12 month commencing on the date of this agreement. The client agrees that unless otherwise notified in writing or by email this contract will automatically renew for a 1 year term as stated below. Customer agrees that in order to meet any required deadlines, customer must comply with Product Advance, Inc. work, support and approval process in order to maximize the efficiency of our staff. Customer agrees any generated code content or images, except for those provided by the customer, are the sole property of Product Advance, Inc. Product Advance, Inc. agrees to provide the customer access to all aforementioned technologies for the duration of this agreement. In addition to this agreement, Customer also acknowledges that they have read and agree with our Terms of Service as specified on our website at the following URL: http://productadvance.com/terms-of-service/
This agreement in combination with our terms of service as published on our website, and your first invoice, supersedes any and all other agreements, either oral or in writing, between the parties hereto with respect to the subject matter hereof, and no other agreement, statement or promise relating to the subject matter of this Agreement which is not contained herein or published on our terms of service at the following url http://productadvance.com/terms-of-service/ shall be valid or binding. In no event shall Product Advance, Inc. be liable for any direct, indirect, special, exemplary, incidental, consequential or punitive damages, irrespective of whatever such damages were foreseeable or unforeseeable. The limit of Product Advance, Inc.s liability (whether in contract, tort, negligence, strict liability in tort or by statute or otherwise) in any manner related to this agreement, for any and all claims, shall not in the aggregate exceed the fees and expenses paid for the services rendered by Product Advance, Inc. In no event shall either party be liable for consequential, incidental or punitive loss, damage or expenses (including lost profits). All email list sales are final and non-refundable.
